OKPAN User Agreement

Acceptance and scope

This Agreement applies to all OKPAN products and services provided by Zhengzhou Matrix Software Technology Co., Ltd., including current and future websites, web applications, account systems and service modules.

Product pages, order pages, feature rules, activity rules, privacy policies, notices and other rules published by OKPAN form part of this Agreement. If a specific service rule conflicts with a general clause, the specific service rule applies to that service, unless applicable law requires otherwise.

Definitions

Eligibility and minors

1. You must have the legal capacity required to enter into and perform this Agreement. If you use OKPAN on behalf of an organization, you confirm that you are authorized to bind that organization.
2. A minor should use OKPAN with the consent and guidance of a parent or other legal guardian. The guardian should help the minor understand this Agreement, protect account security and use online services appropriately.
3. Where identity verification, guardian consent or age-appropriate safeguards are required by law or a specific service, you agree to provide necessary and truthful information.

Account registration and security

1. You should submit truthful, accurate, lawful and valid registration information and keep it updated. Account names, avatars, descriptions and other account information must not contain unlawful, misleading, impersonating or infringing content.
2. You are responsible for protecting your login credentials, verification codes, recovery information and logged-in devices. Do not lend, transfer, sell or improperly share an account.
3. Actions completed through your account are presumed to be performed by you unless you promptly report unauthorized use and provide reasonable evidence.
4. If you discover account theft, abnormal login or security risk, you should immediately change credentials and contact the platform.

Service descriptions

Cloud storage

Upload, store, organize, preview, download, share and manage files, subject to account capacity, traffic, file-type and security rules.

File transfer

Generate temporary transfer links with optional node selection, expiry time, download limits and burn-after-reading controls.

OK Notes

Create and organize notes, notebooks, tags, images, attachments, web clippings and references to files stored in My Cloud.

Cloud sticky notes

Create lightweight pure-text notes, reminders and checklists. Sticky notes do not support images, files or other attachments.

App distribution

Upload APK or IPA packages, parse app information, publish testing pages and distribute private builds using traffic points and upload-space benefits.

File collection

Create collection links that allow contributors to upload files into a cloud folder selected by the creator.

Private Space

A VIP-only protected area for sensitive files. It shares total capacity with the main cloud drive and is subject to the product page's security and access rules.

Specific functions, supported formats, limits, availability and technical performance may vary by account level, device, region, network environment and product version.

Free benefits and paid benefits

6.1 Free basic benefits

• A free account may include 500 GB of basic cloud-drive space, subject to the current product page and account display.
• Free users may receive 1 GB of sharing-download traffic per day. Daily free traffic is valid only for the current day and does not accumulate.
• File Transfer may be used free of charge for files within 2 GB, subject to current feature and abuse-prevention rules.
• OK Notes and Cloud Sticky Notes are permanently free as product functions; note images and attachments use the main cloud-drive storage capacity.
• App Distribution may include 10 free points per day. Daily points are subject to account status, risk controls and current product rules.

6.2 Paid benefits

• Cloud capacity packages, transfer quota, VIP membership, traffic packs, distribution points and upload-space membership are separate benefits and do not automatically replace one another.
• Purchased sharing-traffic packs are long-term valid unless the order page states otherwise and may be stacked. Gifted or membership traffic is deducted first; purchased packs are then deducted in purchase order.
• Purchased app-distribution points are permanently valid unless the order page states otherwise. One point offsets 30 MB of distribution-download traffic under the current product rule.
• VIP membership may include Private Space, higher daily sharing traffic, monthly gifted traffic, larger upload benefits and other displayed privileges. Monthly gifted traffic may accumulate according to the current VIP rule.
• Account balance is displayed at a conversion of RMB 1 to 1 balance and is permanently valid under the current rule. Its use, withdrawal, refund or transfer conditions are subject to the recharge page, order rules and applicable law.

Orders, payment, renewal, refunds and invoices

1. You should verify order information before payment. A paid order becomes effective when payment is successfully confirmed and the corresponding benefit is credited or activated.
2. Supported payment methods may include WeChat Pay, Alipay, USDT demonstration channels and account balance, subject to the methods actually available on the checkout page.
3. OKPAN will not activate automatic renewal without your separate authorization. If an automatic renewal option is introduced, its price, deduction date, cancellation method and reminder rules will be separately and prominently displayed.
4. Refund requests are handled according to applicable law, the nature and consumption status of the digital service, and the rules shown on the order page. Nothing in this Agreement excludes mandatory consumer rights.
5. Eligible paid order records may be used to apply for an invoice according to the invoice rules and information requirements displayed in the account center.

User Content and necessary service permissions

1. You retain the lawful intellectual property and other rights you have in User Content. OKPAN does not acquire ownership merely because content is uploaded or stored.
2. You grant the platform a limited, non-exclusive, worldwide and revocable permission, only to the extent necessary to store, copy for redundancy, transmit, encode, decode, generate previews, scan for security risks, display to authorized recipients and otherwise provide the service you request.
3. You confirm that you have the necessary rights, licenses, consents and legal basis to upload, distribute, share, collect or otherwise process User Content.
4. When you create a public or password-protected link, you control who may access it. You should carefully select permissions, validity periods, passwords and recipient scope.

Prohibited content and conduct

You must comply with applicable laws, public order, good customs, network security requirements and the legitimate rights of others. You must not use OKPAN to:

• Create, upload, store, copy, publish, distribute or share unlawful or harmful information, including content involving national security, terrorism, extremism, violence, obscenity, gambling, fraud, illegal fundraising or other prohibited activities.
• Infringe copyrights, trademarks, patents, trade secrets, privacy, personal information, reputation, portrait rights or other lawful rights.
• Upload malware, viruses, ransomware, spyware, attack tools, malicious scripts or code designed to disrupt systems or gain unauthorized access.
• Conduct unauthorized scanning, intrusion, stress testing, credential stuffing, traffic attacks, scraping, reverse engineering or circumvention of technical restrictions.
• Abuse free benefits, create accounts in bulk, manipulate traffic, resell accounts or benefits without authorization, or interfere with fair platform operation.
• Impersonate another person or organization, mislead recipients, forge app information or distribute counterfeit, stolen or unauthorized software.

Special service rules

10.1 Sharing and File Transfer

A transfer or sharing link may expire, reach a download limit, be burned after reading, be disabled by the creator or be restricted for security or compliance reasons. Recipients should download important files within the displayed validity period.

10.2 File Collection

The creator is responsible for having a lawful reason to collect files and contributor information, clearly explaining the collection purpose and setting a suitable destination, deadline and file-type rule. Contributors are responsible for the lawfulness and accuracy of submitted content.

10.3 App Distribution

You must have the lawful right to upload and distribute each APK or IPA package. You must not distribute malicious, infringing, deceptive, unauthorized or illegally obtained applications. App names, versions, icons, descriptions and signatures must be truthful and must not mislead testers.

10.4 OK Notes and Cloud Sticky Notes

Images and attachments used in OK Notes are stored in or linked to the main cloud drive and consume the corresponding storage capacity. Cloud Sticky Notes is a pure-text function and does not accept images, files or cloud attachments.

10.5 Private Space

Private Space is available only while the required VIP benefit is active. It shares storage capacity with the main cloud drive. If membership expires, access may be restricted until renewal or another permitted action is completed; files remain subject to account, storage and legal-retention rules.

Privacy and data protection

1. OKPAN processes account information, device and log information, order records, security information and User Content only for lawful purposes described in this Agreement, the Privacy Policy, product notices or your separate authorization.
2. The platform follows principles of lawfulness, legitimacy, necessity, good faith, transparency and minimum scope, and takes reasonable organizational and technical measures to protect data.
3. Details about collection purposes, processing methods, retention, sharing, cross-border processing, cookies and your data rights are governed by the separately published Privacy Policy.
4. You must not use OKPAN to collect, upload or share another person's personal information without a lawful basis and necessary authorization.

Security, availability and backups

1. The platform will take reasonable security measures consistent with the nature of the service, but no network service, storage medium or transmission method can be guaranteed absolutely secure or uninterrupted.
2. You should maintain independent backups of important or irreplaceable files. OKPAN should not be treated as the sole copy of critical data.
3. Maintenance, upgrades, network failures, third-party infrastructure, force majeure, security incidents, legal requirements or abnormal user activity may cause temporary restrictions, delay or interruption.
4. Where reasonably possible, the platform will provide notice of planned maintenance or material changes through the website, account center, email, in-product message or other appropriate method.

Platform intellectual property

Except for User Content and third-party materials, the OKPAN service, software, interface, page design, text, graphics, logos, trademarks, domain names, technical architecture and related intellectual property are owned by Matrix Software or the relevant rights holder.

Without prior authorization, you may not copy, modify, publish, sell, lease, sublicense, reverse engineer, create derivative products from or commercially exploit platform materials beyond normal service use.

Service and Agreement changes

1. The platform may improve, add, remove or adjust functions, interfaces, technical rules, free allowances and commercial plans based on product development, user needs, security, cost, legal compliance or operational conditions.
2. Material changes affecting your rights will be notified in a reasonable and prominent manner. Existing paid orders will be handled according to their order terms and applicable law.
3. If you disagree with an updated Agreement, you may stop using the affected service and exercise available account or data rights. Continued use after the effective date indicates acceptance of the updated terms, to the extent permitted by law.

Restriction, suspension and termination

The platform may take reasonable and proportionate action when necessary to protect users, third parties, platform security or legal compliance. Measures may include warnings, verification requests, limiting uploads or downloads, disabling links, freezing benefits, removing unlawful content, suspending functions or terminating accounts.

Except where immediate action is necessary for law, security or emergency reasons, the platform will use reasonable efforts to notify you and provide an opportunity to explain or correct the issue.

You may stop using the service or request account cancellation through available account functions. Before cancellation, please download or transfer important content and settle pending orders, disputes or legal obligations.

Liability and limitations

1. Each party is responsible for losses caused by its breach of this Agreement, unlawful conduct, infringement, fraud, wilful misconduct or negligence, in accordance with applicable law.
2. To the extent permitted by law, the platform is not responsible for losses caused solely by your device, network, password disclosure, incorrect permission settings, unauthorized recipient actions, unlawful User Content, third-party services or events beyond reasonable control.
3. Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded, including liability for personal injury caused by intentional conduct or gross negligence, fraud, or mandatory consumer rights.

Governing law and dispute resolution

The formation, validity, performance, interpretation and dispute resolution of this Agreement are governed by the laws of the People's Republic of China, excluding conflict-of-law rules, unless mandatory law requires otherwise.

The parties should first attempt to resolve disputes through good-faith consultation. If consultation fails, either party may submit the dispute to a competent people's court at the operator's domicile, except where applicable law grants the user another mandatory forum.

If any clause is held invalid or unenforceable, the remaining clauses remain effective. Headings are for reading convenience and do not independently determine the meaning of a clause.
